  • Quality assurance and testing

  • Technical consulting and project management

3. Service Agreement

3.1 Engagement Process

  1. Initial consultation and requirements gathering
  2. Technical proposal and team composition
  3. Service agreement execution
  4. Team onboarding and project kickoff

3.2 Service Levels

  • Availability: 99.5% uptime during agreed working hours
  • Response Time: 4 hours for critical issues, 24 hours for standard requests
  • Communication: Regular progress updates and milestone reports
  • Quality Assurance: Code reviews and testing as specified in project scope

4. Payment Terms

4.1 Pricing Models

Hourly Rate

€40-65 per hour based on expertise level

Monthly Teams

Dedicated teams with monthly billing

Fixed Price

Project-based pricing with defined scope

4.2 Payment Terms

  • Invoices issued monthly or upon milestone completion
  • Payment due within 30 days of invoice date
  • Late payment fees: 1.5% per month on overdue amounts
  • Accepted payment methods: Bank transfer, credit card

5. Intellectual Property

5.1 Client IP Rights

Ownership: All work products, code, and deliverables created specifically for your project belong to you upon full payment, unless otherwise agreed in writing.

5.2 EuroStaff IP Rights

  • Pre-existing intellectual property remains with EuroStaff
  • Generic code, frameworks, and methodologies developed by our teams
  • Process improvements and general knowledge gained during projects

6. Confidentiality

Both parties agree to:

  • Maintain strict confidentiality of proprietary information
  • Use confidential information solely for project purposes
  • Return or destroy confidential materials upon request
  • Ensure team members sign appropriate NDAs

7. Limitation of Liability

Important: Our liability is limited to the amount paid for services in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

7.1 Exclusions

We are not liable for:

  • Third-party actions or software failures
  • Client's failure to provide necessary access or information
  • Changes in requirements or scope during development
  • Force majeure events beyond our reasonable control

8. Data Protection

We comply with GDPR and German data protection laws. Our Privacy Policy details how we handle personal data.

9. Termination

9.1 Termination Rights

  • For Convenience: Either party may terminate with 30 days written notice
  • For Cause: Immediate termination for material breach or non-payment
  • Insolvency: Automatic termination if either party becomes insolvent

9.2 Post-Termination

  • Payment due for all work completed through termination date
  • Return of confidential information and materials
  • Transition assistance for ongoing projects (additional fees may apply)

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by German law. All disputes will be resolved in Berlin, Germany courts.

10.2 Alternative Resolution

We encourage resolving disputes through good faith negotiations. If unsuccessful, we're open to mediation before pursuing legal action.

11. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.

12. Modifications

We may update these Terms periodically. Material changes will be communicated with 30 days notice. Continued use of services constitutes acceptance of updated Terms.
